A presente dissertação tem como objetivo a apreciação do regime subjacente à figura das Deliberações Sociais Abusivas, bem como, de uma seleção de temas relevantes, com este conexos, quer direta, quer indiretamente, tendo como principal finalidade a apresentação, de uma forma atualista e sistematizada, da identificada causa de invalidade das Deliberações Sociais. Motiva-se a escolha do tema pela importância que as deliberações sociais assumem no âmbito do exercício da atividade da sociedade e, em particular, pelo relevado interesse apresentado pelo dissenso ainda existente quanto a esta matéria, não obstante o tempo já decorrido desde a entrada em vigor do normativo que regula o seu atual regime. Destina-se a mesma a todos aqueles que pretendam aprofundar o seu conhecimento sobre a referida causa de invalidade, nomeadamente os intérpretes e aplicadores do Direito e, em especial e a todos aqueles que atuem junto das sociedades comerciais ou que com estas se correlacionem. Baseia-se a presente análise nos estudos mais atuais sobre o referido tema, não pretendendo com a mesma solucionar-se a questão de forma uniforme, mas antes propor soluções que melhor se adequem ao regime jurídico vigente.

The present dissertation aims to assess the regime underlying the figure of «Abusive Corporate Resolutions» (or “the abuse of voting rights by a majority shareholder), as well as, a selection of relevant topics related to it, either directly or indirectly, with the main goal/purpose of presenting a current, structured and identified cause of invalidity of the above-designated concept. The theme is chosen in order of the importance that «Corporate Resolutions» assume, nowadays, in the exercise of the company’s activity and by the significant interest presented by the dissent that still remains on this matter, despite all the time since the law came into force. In short, this dissertation is intended for all those who wish to deepen their knowledge and skills of the said cause of invalidity, like interpreters, law enforcers and for those who work directly with Corporate Companies. This extensive analysis is based on current studies and recent work developed by our doctrine and jurisprudence in that specific law area. Nevertheless, it’s not my intension with it to solve that issue uniformly, but also propose solutions that best fit the above-designated legal regime.
