O objetivo principal deste trabalho é analisar a problemática da responsabilidade da sociedade diretora quando há perdas da sociedade subordinada numa relação de grupo constituído por contrato de subordinação, tendo como base legal o art.º 502.º do Código das Sociedades Comerciais ou por domínio total por força da remissão do art.º 491.º do CSC. A sociedade diretora - no caso de a relação ser constituída por contrato de subordinação - ou a dominante - no caso de a relação ser constituída por domínio total - têm obrigação de compensar as perdas registadas pela subordinada ou dominada durante a vigência do contrato de subordinação, caso as mesmas não tenham sido compensadas pelas reservas constituídas durante o mesmo período. As perdas a serem compensadas são aquelas que foram registadas em quaisquer documentos financeiros durante o exercício social anual. Para melhor compreender o tema, abordamos aspetos da noção e a tipologia de grupos de sociedades. De seguida, tratamos da responsabilidade por perdas, do momento relevante que obriga a sociedade diretora a compensar, e, depois, para finalizar, analisamos a aplicabilidade do art.º 502.º no caso do domínio total, passando pelas soluções apontadas pela doutrina e pela jurisprudência. Ao fim do estudo, concluímos que a responsabilidade da sociedade diretora de compensar perdas da sociedade subordinada é uma responsabilidade objetiva. Estudamos a aplicabilidade ou não do art.º 502.º do CSC no caso do domínio total. Apoiamos o acórdão do STJ de 11 de maio de 2011, de onde resulta que a sociedade dominada pode findar a relação de grupo e, por força da remissão do art.º 491.º do CSC, tem o direito de exigir da sociedade dominante a compensação das perdas não suportadas pelas reservas constituídas durante o mesmo período. Portanto, o art.º 502.º pode-se aplicar na relação de grupo formado por domínio total.

The main goal of this work consists in analysing the problematic of director society’s responsibility when the subordinated society has losses in a group relation constituted by contract of subordination under the legal basis of article 502.º or by total domain by force of the remission of the article 491.º of the Code of Commercial Societies. The director society - in the case of a relation constituted by contract of subordination - either the dominant - in the case of a relation constituted by total domain - have the obligation to compensate the losses registered by the subordinated or the dominated one during the term of the contract, if they have not been compensated with its assets during the same period. The losses to be compensated are those registered in any of its financial documents during the annual social exercise. To better comprehend the theme, we discuss the aspects of notion and typology of groups of societies. Afterwards, we talk about the responsibility on the losses, on the relevant moment that obliges the director society to compensate, and, in order to conclude, analyse the applicability of the article 502.º in the case of total domain through solutions pointed out by doctrine and the jurisprudence. At the end of the research, we concluded that the responsibility of the director society to compensate the subordinated society’s losses is an objective reality. We studied the applicability or not of the article 502.º of the Code of Commercial Societies in the case of total domain. We support the judgment of the supreme court of justice of 11th May of 2011, under which the dominated society can end a group relation and, by force of remission of the article 491.º of the abovementioned Code, has the right of requesting from the dominant society the compensation of losses not compensated by the assets constituted during the same period. Thus, the article 502.º can be enforced to the group relation formed by total domain.
