A discussão sobre a natureza jurídica das cooperativas é, arriscamos afirmá-lo, tão antiga quanto a sua origem, dividindo-se, quer a doutrina, quer a jurisprudência, entre o reconhecimento ou a recusa de natureza societária àquelas, erigindo o tema em verdadeira vexata questio. A constante evolução das ciências jurídicas, económicas e sociais constitui o pretexto ideal para relançar uma questão que nunca ficou verdadeiramente resolvida. Importa salientar que a relevância da discussão não é meramente teórica, na medida em que dos diferentes entendimentos sobre a matéria decorrem consequências de ordem prática igualmente diferentes, mas fundamentais. O presente trabalho constitui o nosso modesto contributo para a discussão. Revisitaremos, em termos comparativos ainda que não exaustivos, aspectos fundamentais dos regimes das cooperativas e das sociedades comerciais. Antes de formularmos as conclusões do presente trabalho, reflectiremos, ainda, sobre a viabilidade de concepção do Direito Cooperativo como direito especial.

The debate concerning the legal nature of cooperatives is, we dare to say, as ancient as its origin, dividing both doctrine and jurisprudence, between the acknowledgment and the refusal of their corporate legal nature, raising the issue into a real vexata questio. The constant development of legal, economic and social sciences is the ideal ground to revive an issue that was never truly resolved in the first place. We should bear in mind that the relevance of the discussion is not purely theoretical, as the various understandings on the subject lead to different but, what is more, fundamental practical results. The present study represents our unassuming contribution to the discussion. We will review, in comparative though not exhaustive terms, some key aspects of cooperatives and commercial companies legal regimes. Before presenting our conclusions, we will reflect also on the possibility of conceiving Cooperative Law as a special law branche.
