Perante um tecido empresarial fortemente marcado por pequenas e médias empresas (adiante
designadas por PME), a grande parte delas sociedades familiares (inclusive ao nível das sociedades
anónimas), onde, muitas vezes o património da sociedade se confunde com o património pessoal dos
sócios, o exercício dos direitos sociais pelos sócios revela-se de enorme importância, tal como, o modo
de atuação dos administradores ou gerentes das sociedades
É neste contexto que surgem deliberações sociais abusivas, enquanto deliberações violadoras do
princípio da boa-fé e do interesse social, tomadas maioritariamente em assembleias gerais de sócios,
mas também por órgãos de administração/gestão das sociedades. Destas deliberações abusivas
resulta quase inevitavelmente prejuízo para a sociedade, sócios ou grupos de sócios e, por último,
terceiros designadamente credores sociais
Ao longo da presente dissertação, pretendemos analisar algumas das situações mais comuns, o seu
enquadramento legal e as posições doutrinais e jurisprudenciais mais recentes quanto à noção e
impugnação de uma deliberação social abusiva.

Our market is characterised by small and medium-sized companies (hereinafter referred to as SMEs),
most of which are companies with a familiar share capital structure, companies (including shareholding
companies) and where the company's assets are part of the times mixed with the partners' personal
assets, the exercise of company rights by partners is of an enormous importance, as well as it is the
manner how companies directors or managers act/decide. In fact, it is current that
shareholders/partners of such companies are also directors or managers of those companies.
It is in this context that abusive company resolutions arise, as companies’ resolutions that violate the
principle of good faith and the company's interests, mostly taken at general meetings of shareholders,
but also by management bodies, resulting in damage to the company, shareholders or groups of
shareholders and, ultimately, third parties such as creditors
This dissertation will analyse some of the most common situations, their legal framework, and the
most recent doctrinal and jurisprudential positions on the notion and objection to an abusive
corporate resolution.
